1. Agreement to These Terms

These Runr Terms of Service (“Terms”) are a legally binding agreement between you and RolRunr, LLC (“RolRunr,” “Company,” “we,” “us,” or “our”) governing your access to and use of the RolRunr website, mobile application, platform, and related services as an independent contractor service provider known as a “Runr.”

By applying to become a Runr, creating an account, accessing the platform, accepting a job, clicking to accept these Terms, or otherwise using RolRunr as a Runr, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the platform.

You also agree that your use of the platform constitutes your electronic signature and your consent to transact with us electronically.

2. Eligibility

To become or remain a Runr, you must:

• Be at least 18 years old.
• Have the legal right to work and contract in the United States.
• Provide truthful, complete, and current registration information.
• Maintain all licenses, permits, and documents required for the services you perform.
• Meet RolRunr’s screening, identity verification, and onboarding requirements.
• Comply with these Terms and all applicable laws.

RolRunr may approve, deny, suspend, restrict, or terminate any application or account in its reasonable discretion to the fullest extent permitted by law.

3. Independent Contractor Relationship

You acknowledge and agree that you are an independent contractor and not an employee, agent, partner, joint venturer, franchisee, or legal representative of RolRunr.

Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between you and RolRunr.

As an independent contractor:

• You control whether, when, and whether to accept or decline offered jobs.
• You are free to work for other companies, platforms, or customers, including competitors.
• You are responsible for your own taxes, withholdings, insurance, expenses, and business operations.
• You are not entitled to employee benefits from RolRunr.
• RolRunr does not guarantee any minimum number of job offers, any minimum compensation, or any particular level of earnings.

You understand that RolRunr may set platform rules, safety rules, service standards, and quality expectations, but those rules do not make you an employee and do not give RolRunr the right to control the manner and means by which you perform your work, except as necessary for safety, legal compliance, and platform integrity.

4. RolRunr Platform Role

RolRunr is a technology platform that connects customers with independent contractors who perform services.

RolRunr may make available service categories including:

• Dog Walking
• Errand
• Seasonal Support
• Event Setup Support
• Rideshare
• Food Pickup and Delivery
• Grocery Pickup and Delivery

RolRunr may add, remove, suspend, restrict, or modify service categories, platform features, pricing structures, payout methods, operating requirements, or service areas at any time, with or without notice to the extent permitted by law.

5. Runr Account and Registration

To become a Runr, you must complete RolRunr’s registration process and provide information and documents requested by RolRunr, which may include:

• Legal name.
• Home address.
• Email address.
• Phone number.
• Date of birth.
• Government-issued identification.
• Driver’s license.
• Vehicle information if applicable.
• Payment and tax information.
• Background check authorization.
• Any other onboarding information reasonably requested.

You agree that all information you provide will be true, accurate, complete, and current. You must promptly update any material changes.

You may not create more than one Runr account without written permission from RolRunr.

You must promptly notify RolRunr if any material information changes, including your address, phone number, email address, tax information, licenses, insurance, or work authorization.

6. Background Checks, Verification, and Ongoing Screening

As a condition of onboarding and continued access to the platform, RolRunr may require identity verification, driver’s license verification, criminal background screening, motor vehicle record checks, reference checks, and other lawful screening measures.

You authorize RolRunr and its third-party service providers to conduct these screenings as permitted by law and to repeat them periodically or when RolRunr determines additional review is necessary for safety, compliance, fraud prevention, or platform integrity.

You agree to complete any required disclosures and authorizations separately if requested. Failure to pass, maintain, or cooperate with screening requirements may result in denial, suspension, deactivation, or termination of your account.

7. Acceptance of Jobs

RolRunr may offer jobs to you through the platform. You are not required to accept every job offered.

You understand and agree:

• You may accept or decline jobs in your discretion.
• Once you accept a job, you are expected to perform it professionally, lawfully, safely, and in accordance with these Terms.
• Repeated acceptance failures, cancellations, misconduct, nonperformance, customer complaints, or safety issues may affect your standing on the platform.
• RolRunr may establish or revise quality, responsiveness, completion, and reliability standards from time to time.

8. No Guarantee of Earnings or Job Volume

RolRunr does not guarantee:

• That you will receive any minimum number of job offers.
• That any job you accept will generate a certain amount of pay.
• That you will earn any minimum income.
• That the platform will be available at any time.
• That demand will exist in your area.

Your earnings depend on many factors outside RolRunr’s control, including customer demand, timing, geography, service category, disputes, promotions, acceptance choices, competition, and platform conditions.

9. Payment and Payouts

You will be paid according to RolRunr’s then-current payout structure, as displayed in the platform or otherwise communicated by RolRunr.

RolRunr reserves the right to determine, revise, and update compensation formulas, incentive structures, fees, adjustments, promotions, deductions, and payout timing at any time, to the fullest extent permitted by law.

You acknowledge and agree:

• Payouts are intended to be processed within five (5) business days after completion of the applicable service, subject to customer payment being successfully processed and received by RolRunr through its third-party payment processor.

• Payouts may be delayed or withheld for the minimum period reasonably necessary for fraud review, dispute review, chargeback review, safety review, legal review, technical issues, banking delays, or other operational requirements.

• If only part of a payment is disputed, RolRunr may hold the disputed portion until resolution and may release any undisputed portion when reasonably practicable.

• Customer promo codes, discounts, credits, adjustments, disputes, chargebacks, or refunds may affect the amount payable to you.

• Payments may be processed through third-party payment providers, including Stripe.

• You are solely responsible for ensuring your payout account information remains accurate and current.

RolRunr is not responsible for delays or failed payouts caused by banks, payment processors, failed customer charges, telecommunications failures, system outages, fraud checks, disputes, chargebacks, or events outside RolRunr’s reasonable control.

10. Taxes

You are solely responsible for:

• Reporting and paying all federal, state, and local taxes arising from your earnings.
• Any self-employment taxes.
• Maintaining any required business licenses or registrations applicable to your activities.
• Complying with all tax laws applicable to your independent contractor work.

RolRunr may issue tax forms as required by law.

11. Expenses

Unless expressly stated otherwise in writing, you are solely responsible for all costs and expenses associated with your work as a Runr, including:

• Vehicle costs.
• Fuel.
• Maintenance.
• Insurance.
• Mobile phone service.
• Data service.
• Tolls.
• Supplies reasonably needed for the service.
• Any other operating expense you incur.

RolRunr does not reimburse tolls or ordinary business expenses unless RolRunr expressly agrees in writing. Any separate arrangement between a customer and a Runr regarding tolls or similar incidental costs is outside RolRunr’s responsibility unless expressly authorized by RolRunr in writing.

12. Vehicles, Driver’s License, and Insurance

If you perform any service involving a motor vehicle, you must maintain at all times:

• A valid driver’s license.
• Current vehicle registration where required.
• Legally required vehicle inspection(s), if applicable.
• Legally required automobile insurance.• Any additional insurance required by law for the type of service you perform.

You must comply with all applicable federal, state, and local laws relating to vehicle use, insurance, and transportation services.

If you perform rideshare or other passenger transportation services, you are solely responsible for ensuring that you have any insurance coverage required by law for those activities.

You must immediately notify RolRunr if your license, registration, insurance, or driving privileges lapse, are suspended, are restricted, or become invalid for any reason. RolRunr may request proof of insurance, registration, or licensing at onboarding and at any later time.

13. Prohibited Account Sharing and Substitution

You may not:

• Allow another person to use your account.
• Share your login credentials.
• Use another person’s account.
• Permit a substitute to perform services under your account.
• Transfer or assign your account without RolRunr’s written consent.
• Impersonate another person.

Any account sharing, substitution, impersonation, or unauthorized delegation is grounds for immediate deactivation.

14. Off-Platform Activity Prohibited

You may not use the platform to:

• Arrange side deals with customers.
• Solicit off-platform work from customers you met through RolRunr.
• Accept direct cash payment outside the platform for platform-originated jobs unless RolRunr expressly authorizes it.
• Divert customers away from RolRunr.
• Otherwise interfere with RolRunr’s business relationships.

This restriction applies during active use of the platform and for twelve (12) months afterward, to the fullest extent permitted by law, with respect to customers you met through RolRunr.

15. Standards of Conduct

You agree that while using the platform or performing services you will:

• Act professionally and honestly.
• Treat customers, merchants, third parties, and RolRunr personnel with courtesy and respect.
• Comply with all laws, regulations, and ordinances.
• Follow all applicable traffic and safety laws.
• Avoid reckless, dangerous, or unlawful behavior.
• Provide services only within the lawful scope of the request.
• Avoid conduct that could harm RolRunr’s reputation, customers, or the public.

You may not:

• Use drugs or alcohol while performing services.
• Possess or use illegal drugs while using the platform.
• Harass, threaten, intimidate, abuse, assault, stalk, or discriminate against anyone.
• Engage in fraud, theft, dishonesty, falsification, or deception.
• Submit false records, false documents, or false completion confirmations.
• Transport or handle prohibited items.
• Carry unauthorized passengers during rideshare or customer-facing vehicle services.
• Engage in unsafe driving.
• Violate any RolRunr safety or conduct rule.

16. Passenger, Pet, and Property Safety

If you perform customer-facing services, you are responsible for exercising reasonable care and professional judgment.

You must not transport:

• An unaccompanied minor.
• Prohibited items.
• Unlawful goods.
• Firearms, explosives, or contraband in violation of policy or law.
• Any passenger or item that creates a reasonable safety concern.

You may refuse, stop, or cancel a service if the situation is unsafe, unlawful, threatening, materially misrepresented, weather-related, or outside the scope of the job.

You must promptly report any safety incident, injury, property damage, bite, accident, theft, or other material event through the platform or other designated channel.

17. Dog Walking and In-Person Service Rules

For dog walking, errands, seasonal support, event setup support, and similar services:

• You are there to perform the service request as presented through the platform.

• You are not required to provide tools, specialized equipment, or trade materials unless expressly approved in writing.

• For dog walking services, the customer is responsible for supplying the dog’s leash and any waste bags or other required cleanup materials unless otherwise agreed.

• You should report unsafe conditions, aggressive animals, dangerous sites, unlawful requests, or material misrepresentations through the platform.

• You should not proceed with any task that would be unsafe, unlawful, or outside the agreed scope.

If the customer, location, animal, or worksite is unsafe or materially different from the request, you may stop or refuse the job and follow RolRunr’s reporting process.

18. Confidentiality and Customer Information

You may receive access to customer information such as names, locations, phone numbers, job details, and communications. You may use such information only as necessary to perform services through RolRunr.

You may not:

• Use customer information for personal, marketing, or unrelated business purposes.
• Sell, disclose, or misuse customer information.
• Store customer information longer than necessary for lawful business purposes.
• Contact customers outside the platform except as reasonably necessary to complete an active job.
• Disclose confidential RolRunr business information.

These obligations survive suspension, deactivation, and termination.

19. Mobile Devices, GPS, and Platform Technology

You are responsible for maintaining a compatible device, internet access, phone service, and any related equipment needed to use the platform.

You understand that the platform may use GPS, location-based services, timestamps, messaging, and other technology features for dispatching, route visibility, support, fraud prevention, safety, operations, and quality review.

You agree not to:

• Tamper with the app.
• Spoof GPS or location data.
• Manipulate platform signals or job flow.
• Attempt to reverse engineer protected platform functions except as permitted by law.
• Interfere with the normal operation of the platform.

20. Ratings, Complaints, and Quality Standards

RolRunr may use ratings, reviews, complaints, completion data, reliability data, safety incidents, customer reports, support tickets, audit findings, or other quality indicators in evaluating continued access to the platform.

RolRunr may establish minimum standards relating to:

• Completion.
• Responsiveness.
• Conduct.
• Customer experience.
• Safety.
• Documentation.
• Compliance.
• Platform integrity.

Failure to meet RolRunr’s standards may result in coaching, warnings, temporary restrictions, withheld access to certain services, suspension, or deactivation.

21. Disputes, Chargebacks, and Investigations

RolRunr may investigate customer disputes, complaints, chargebacks, suspicious behavior, accidents, claims, safety events, and possible policy violations.

You agree to cooperate promptly and truthfully with any investigation and to provide requested information, records, screenshots, photos, logs, receipts, or statements as reasonably needed.

Failure to cooperate may result in withheld payouts, suspension, or deactivation.

22. Suspension and Deactivation

RolRunr may suspend, restrict, or deactivate your account immediately, with or without prior notice, for any lawful reason, including:

• Safety concerns.
• Fraud or suspected fraud.
• Criminal conduct or suspected criminal conduct.
• Failed or incomplete screening.
• Lapse of license, registration, or insurance.
• Customer complaints.
• Harassment or discrimination.
• Drug or alcohol use while working.
• Unsafe driving or unsafe conduct.
• Account sharing.
• Falsified records.
• Policy violations.
• Legal or regulatory risk.
• Conduct that RolRunr believes may expose the company, customers, or the public to harm.

RolRunr may, but is not required to, provide notice or an opportunity to respond depending on the circumstances.

23. No Employment Benefits

Because you are an independent contractor, you are not entitled to any employee benefits from RolRunr, including:

• Minimum wage protections as an employee.
• Overtime.
• Workers’ compensation through RolRunr unless otherwise required by law.
• Unemployment insurance through RolRunr unless otherwise required by law.
• Paid leave.
• Retirement benefits.
• Health insurance.

Nothing in these Terms is intended to waive any right that cannot legally be waived.

24. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

ROLRUNR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, PERFORMANCE, AND QUIET ENJOYMENT.

ROLRUNR DOES NOT WARRANT THAT:

• THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
• JOB OFFERS WILL BE AVAILABLE.
• PAYOUTS WILL OCCUR WITHOUT DELAY.
• ANY PARTICULAR EARNINGS WILL BE ACHIEVED.
• ANY DEFECT OR ISSUE WILL BE CORRECTED.

25. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROLRUNR, LLC AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, VEHICLE DAMAGE, PERSONAL INJURY EXPENSES, OR OTHER LOSSES ARISING OUT OF OR RELATING TO:

• YOUR USE OF OR INABILITY TO USE THE PLATFORM.
• YOUR PERFORMANCE OF SERVICES.
• CUSTOMER CONDUCT.
• THIRD-PARTY ACTS OR OMISSIONS.
• DISPUTES, CHARGEBACKS, OR REFUNDS.
• ACCOUNT RESTRICTION, SUSPENSION, OR DEACTIVATION.
• PLATFORM ERRORS OR OUTAGES.
• ANY MATTER ARISING FROM YOUR STATUS AS AN INDEPENDENT CONTRACTOR.

TO THE FULLEST EXTENT PERMITTED BY LAW, ROLRUNR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

1. THE AMOUNT PAID TO YOU BY ROLRUNR FOR THE SPECIFIC JOB GIVING RISE TO THE CLAIM; OR

2. ONE HUNDRED U.S. DOLLARS ($100.00).

Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable law.

26. Indemnification

You agree to defend, indemnify, and hold harmless RolRunr, LLC and its owners, members, managers, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, suits, damages, liabilities, judgments, settlements, penalties, fines, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your services.
• Your negligence or misconduct.
• Your violation of these Terms.
• Your breach of law.
• Your vehicle, equipment, property, or actions.
• Your injuries to persons or damage to property.
• Your tax obligations.
• Your interaction with customers, merchants, regulators, or third parties.

27. Arbitration Agreement and Class Action Waiver

27.1 Agreement to Arbitrate

Except for claims eligible for small claims court, you and RolRunr agree that any dispute, claim, or controversy arising out of or relating to these Terms, your account, your use of the platform, your relationship with RolRunr, your compensation, or your performance of services shall be resolved by binding individual arbitration and not in court.

27.2 Class Action Waiver

You and RolRunr agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, coordinated, or private attorney general action.

The arbitrator shall have no authority to hear or arbitrate any class, collective, or representative claim.

27.3 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ROLRUNR WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE, WHETHER ASSERTED IN COURT OR IN CONNECTION WITH ANY PROCEEDING ANCILLARY TO ARBITRATION.

27.4 Arbitration Procedure

The arbitration shall be administered by a nationally recognized arbitration provider selected by RolRunr unless applicable law requires otherwise. The arbitration shall be conducted in Virginia unless the parties agree otherwise or remote proceedings are permitted.

The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this arbitration provision, except where prohibited by law.

28. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the platform shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws principles, except to the extent federal law requires otherwise.

29. Changes to These Terms

RolRunr may revise these Terms at any time. Updated Terms may be posted through the app, website, email, or other electronic means. Your continued use of the platform after updated Terms become effective constitutes your acceptance of the revised Terms.

30. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

31. No Waiver

Failure by RolRunr to enforce any provision of these Terms shall not operate as a waiver of that provision or any other provision.

32. Entire Agreement

These Terms, together with the Privacy Policy and any other policies, disclosures, onboarding materials, service-specific rules, and electronic consents presented by RolRunr, constitute the entire agreement between you and RolRunr regarding the subject matter herein and supersede prior or contemporaneous understandings relating to that subject matter.
